RxHere Terms of Service

These Terms of Service (“Terms”) govern access to and use of the websites, provider portal, ordering platform, formulary tools, and related services (collectively, the “Services”) made available by RxHere LLC and its affiliated pharmacy operations (“RxHere,” “we,” “us,” or “our”). By accessing or using the Services, registering for an account, or submitting an order or prescription, you (“you,” “Provider,” or “user”) agree to be bound by these Terms and by our Privacy Policy and Notice of Privacy Practices, each incorporated by reference. If you do not agree, do not access or use the Services.
1. Eligibility; Licensed Providers Only
The Services are intended solely for licensed healthcare providers acting within the scope of their professional license and prescribing authority, and for their authorized staff. The Services are not intended for use by consumers or the general public.
By using the Services, you represent and warrant that you are a licensed healthcare provider in good standing in each jurisdiction in which you practice, that you hold all licenses, registrations, and authority required to order and prescribe the products you request, and that your use of the Services complies with all laws and professional obligations applicable to you. We may request verification of your licensure and may suspend, limit, or deny access pending verification.
2. About RxHere; Nature of the Services
RxHere LLC operates a cash-pay 503A compounding pharmacy, with compounding and fulfillment operations in the Commonwealth of Virginia, and is licensed to dispense in the states in which it maintains active pharmacy licensure. RxHere prepares patient-specific compounded preparations pursuant to valid prescriptions issued by authorized prescribers.
The Services include informational content, a provider portal, formulary browsing, ordering tools, and related functionality made available to licensed providers. RxHere does not practice medicine, does not provide medical advice, and does not establish a prescriber-patient relationship through the Services.
3. No Medical Advice; Provider Responsibility
You are solely responsible for all clinical decisions, including the selection, appropriateness, dosing, and prescribing of any product, and for establishing and maintaining a valid prescriber-patient relationship in accordance with applicable law.
Information made available through the Services — including formulation descriptions, monographs, and any protocol or formulation tools — is provided for informational purposes to licensed providers and is not a substitute for your independent professional judgment. RxHere does not direct or control the practice of medicine and is not responsible for your prescribing decisions or for outcomes arising from them.
4. Compounded Preparations; Regulatory Status
Compounded preparations dispensed by RxHere are prepared under Section 503A of the Federal Food, Drug, and Cosmetic Act for an identified individual patient pursuant to a valid, patient-specific prescription. Compounded preparations are not FDA-approved and are not reviewed by FDA for safety, effectiveness, or manufacturing quality prior to dispensing.
RxHere does not compound preparations that are essentially copies of commercially available FDA-approved drug products except as permitted by applicable law. Availability of any formulation does not constitute a recommendation that it is appropriate for any particular patient.
5. Account Registration and Security
To access certain features you must register for an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity that occurs under your account, including activity by your staff. Notify us immediately of any unauthorized access or use. We may suspend or terminate accounts for any violation of these Terms or applicable law.
6. Orders, Pricing, and Cash Payment
RxHere is a cash-pay pharmacy. RxHere does not bill, and does not submit claims to, Medicare, Medicaid, commercial insurers, or pharmacy benefit managers, and published prices do not reflect insurance coverage, copayments, or third-party reimbursement.
All orders are payable in full at the time of order through the payment methods we accept. Unless otherwise stated, prices are exclusive of applicable taxes and shipping, are subject to change without notice, and the price in effect when an order is accepted controls. We may decline, limit, hold, or cancel any order, including any order that appears inconsistent with a valid prescription, these Terms, or applicable law.
7. Prescriptions; Pharmacist Review
All orders for compounded preparations require a valid prescription from an authorized prescriber. A RxHere pharmacist conducts a final clinical and regulatory review and may, in the exercise of professional judgment, decline to fill, request clarification, or contact the prescriber. Submission of an order or prescription does not guarantee that it will be filled.
8. Shipping, Fulfillment, and Risk of Loss
Delivery timeframes are estimates only. Except as otherwise required by law, risk of loss passes upon RxHere’s delivery of the product to the carrier. RxHere is not responsible for carrier delays or for events outside its reasonable control. Certain products require temperature-controlled handling; you and the patient must follow all storage and handling instructions provided with the product.
9. Returns and Disposal
For patient safety and regulatory compliance, dispensed prescription products and compounded preparations cannot be returned, re-dispensed, re-sold, or reused. Unused medications should be disposed of in accordance with the instructions provided and applicable law, and should not be flushed or poured down a drain. RxHere’s returns and disposal practices are described further in our pharmacy policies and Notice of Privacy Practices.
10. Acceptable Use
You agree not to: misuse the Services; submit false, inaccurate, incomplete, or fraudulent information, prescriptions, or credentials; access the Services other than as a licensed provider or an authorized agent of one; resell, divert, or transfer products except as permitted by law; interfere with the security, integrity, or operation of the Services; scrape, reverse engineer, decompile, or copy the platform or its content; or use the Services in violation of any applicable law or professional obligation.
11. Intellectual Property
The Services, including all software, content, formulary descriptions, designs, trademarks, trade dress, and the RxHere name and logo, are owned by RxHere or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal professional use. No other rights are granted, and all rights not expressly granted are reserved.
12. Confidentiality and Privacy
RxHere’s collection and use of personal information is described in our Privacy Policy, and RxHere’s handling of protected health information is described in our Notice of Privacy Practices. By using the Services, you acknowledge those notices and agree to access, use, and safeguard any patient information you obtain through the Services in compliance with HIPAA and all other applicable laws.
13. Third-Party Services and Links
The Services may link to or integrate third-party websites or services. RxHere does not control and is not responsible for third-party content, products, or practices, and your use of any third-party service is governed by that third party’s terms.
14. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITES, PROVIDER PORTAL, FORMULARY AND PROTOCOL TOOLS, AND INFORMATIONAL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, WITH RESPECT TO THE PLATFORM AND INFORMATIONAL CONTENT.
This Section does not disclaim, limit, or modify any warranty, duty, or obligation regarding dispensed pharmaceutical products that cannot be disclaimed, limited, or modified under applicable pharmacy or consumer-protection law. Informational content provided through the Services is not medical advice and is not a substitute for professional judgment.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RXHERE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
[OPTIONAL CAP — CONFIRM WITH COUNSEL: RXHERE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO RXHERE FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.] Nothing in these Terms limits liability that cannot be limited under applicable law, including for gross negligence, willful misconduct, or personal injury to the extent such limitation is not permitted.
16. Indemnification
You agree to indemnify, defend, and hold harmless RxHere and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of or reliance on the Services; (ii) your violation of these Terms or any applicable law, regulation, or third-party right; (iii) your prescribing decisions or the practice of your profession; (iv) any information, prescription, or content you submit, post, or transmit through the Services; or (v) any unauthorized access to or use of your account. This obligation survives termination or expiration of these Terms.
17. Term; Suspension; Termination
We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, for any reason, including a violation of these Terms or applicable law, or a concern regarding licensure or patient safety. Upon termination, the licenses granted to you end. Provisions that by their nature should survive termination — including Sections 12, 15, 16, 17, 20, and 21 — will survive.
18. Changes to the Services and these Terms
We may modify the Services or these Terms at any time. Material changes will be reflected by updating the “Last Updated” date and, where appropriate, by additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
19. Governing Law; Venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Subject to Section 21, the state and federal courts located in [Fairfax County], Virginia have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to personal jurisdiction and venue there.
20. Dispute Resolution; Arbitration; Class-Action Waiver [CONFIRM WITH COUNSEL]
[Recommended, subject to counsel’s review and the law of the governing jurisdiction:] Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its then-current rules, on an individual basis, in [Fairfax County], Virginia. You and RxHere waive any right to a jury trial and any right to participate in a class, collective, or representative action. [Include any opt-out right, small-claims carve-out, and injunctive-relief carve-out as counsel advises.] If this Section is held unenforceable, disputes will proceed in the courts identified in Section 20.
21. Force Majeure
RxHere will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, supply or raw-material disruptions, carrier or utility failures, labor disputes, regulatory action, or network or facility outages.
22. General
These Terms, together with the Privacy Policy and Notice of Privacy Practices, constitute the entire agreement between you and RxHere regarding the Services and supersede prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in full effect. You may not assign these Terms without our prior written consent; we may assign freely. Our failure to enforce any provision is not a waiver of it. Section headings are for convenience only and do not affect interpretation.
